Terms of Service
These Terms of Service (“Terms”) govern your access to and use of Navio (the “Service”). By creating an account or using the Service, you agree to these Terms. If you are using Navio on behalf of an agency, you agree on its behalf and confirm you have authority to do so.
1. The Service
Navio is software for travel advisors and agencies to manage clients, build itineraries and proposals, store client payment details in an encrypted vault, and request payments. Navio is a software tool — it is not a travel agency, a seller of travel, a payment processor, or a merchant of record, and it does not book travel or charge cards on your behalf.
2. Your account
- You must be at least 18 and provide accurate information.
- You are responsible for keeping your password, sign-in codes, and vault passphrase secure, and for all activity under your account.
- Your vault passphrase cannot be recovered by us. If you lose it, the encrypted cards protected by it cannot be decrypted.
- Notify us promptly of any unauthorized use of your account.
3. Advisor & agency responsibilities
When you use Navio to store or process information about your clients, you (or your agency) are the controller of that data and are responsible for it. You represent and warrant that:
- You have the necessary rights, authority, and consent from your clients to collect, store, and use their information (including payment details) in Navio.
- You will handle client and cardholder data in compliance with all applicable laws and card-network rules, including the Payment Card Industry Data Security Standard (PCI DSS) as it applies to your business.
- You are responsible for your own bookings, charges, and dealings with travel suppliers, and for honoring any authorizations your clients give you.
4. Client & card data
Navio provides an encrypted vault so you can store client card details. Card data is encrypted in the client’s browser to your key; Navio stores only ciphertext and cannot read it. The card security code (CVC), when collected, is stored encrypted separately and automatically deleted within 30 days.
You acknowledge that Navio does not process payments or charge cards, and that completing any charge — with a supplier or otherwise — and complying with the applicable rules for doing so is your responsibility.
5. Acceptable use
You agree not to:
- Use the Service unlawfully, or to store or transmit unlawful, fraudulent, or infringing content.
- Store full card data anywhere in the Service other than the encrypted vault (for example, in notes or messages).
- Attempt to access accounts or data that are not yours, or to probe, scan, or breach security or authentication.
- Interfere with or disrupt the Service, or introduce malicious code.
- Resell or provide the Service to third parties except as expressly permitted.
6. Suppliers & third parties
The Service may link to or interoperate with third-party websites and travel suppliers. Navio is not responsible for those third parties, their content, or any travel product you book. Your dealings with suppliers are solely between you and them.
7. Plans & fees
Some features may be offered free or as part of a paid or promotional plan. Where fees apply, they will be described at sign-up or in your account. We may change plans and pricing on reasonable notice; changes will not apply retroactively to a period you have already paid for.
8. Ownership & your content
Navio and its software, design, and trademarks are owned by us and our licensors. You retain ownership of the content and data you put into the Service (“Your Content”). You grant us a limited license to host, process, and display Your Content solely to provide and improve the Service. You are responsible for Your Content and for having the rights to use it.
9. Disclaimers
The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that it will meet your requirements.
10. Limitation of liability
To the maximum extent permitted by law, Navio will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill. Our total liability for any claim arising out of or relating to the Service will not exceed the greater of the amounts you paid us for the Service in the twelve months before the claim, or USD 100.
11. Indemnification
You agree to indemnify and hold harmless Navio from claims, losses, and expenses (including reasonable legal fees) arising out of your use of the Service, Your Content, your dealings with clients or suppliers, or your breach of these Terms or of applicable law.
12. Termination
You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms, or as needed to protect the Service or other users. On termination, your right to use the Service ends; we may delete your data after a reasonable period, subject to our Privacy Policy and applicable law.
13. Governing law
These Terms are governed by the laws of the State of New Jersey, United States, without regard to its conflict-of-laws rules. You and Navio agree that any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the state or federal courts located in New Jersey, and you consent to the personal jurisdiction of those courts, unless applicable law requires otherwise.
14. Changes to these Terms
We may update these Terms from time to time. When we make material changes, we will update the version and effective date above and ask you to review and agree the next time you sign in. Continued use of the Service after changes take effect means you accept the updated Terms.
